GAMMATRONICS SOFTWARE LICENSE AGREEMENT

IMPORTANT – READ BEFORE COPYING, INSTALLING OR USING.

Do not download or use this software and any associated materials (collectively, the "Software") until you have carefully read the following terms and conditions. By downloading or using the Software, you agree to the terms of this Agreement. If you do not wish to so agree, do not download or use the Software.

INSTALLATION AND USE RIGHTS. You may copy the Software onto a single computer for your personal, noncommercial use, and you may make one back-up copy of the Software, subject to these conditions:

1. The software is licensed, not sold. This agreement only gives you some rights to use the software. Gammatronics reserves all other rights. Unless applicable law gives you more rights despite this limitation, you may use the software only as expressly permitted in this agreement. In doing so, you must comply with any technical limitations in the software that only allow you to use it in certain ways.
2. You may not copy, modify, rent, sell, lease, distribute or transfer any part of the Software except as provided in this Agreement, and you agree to prevent unauthorized copying of the Software.
3. You may not reverse engineer, decompile or disassemble the Software, or work around any technical limitations in the binary versions of the software.
4. You may not transfer the software or this agreement to any third party or use the software for commercial services.

NO OTHER RIGHTS. No rights or licenses are granted by Gammatronics to You, expressly or by implication, with respect to any proprietary information or patent, copyright, mask work, trademark, trade secret, or other intellectual property right owned or controlled by Gammatronics, except as expressly provided in this Agreement.

OWNERSHIP OF SOFTWARE AND COPYRIGHTS. Title to all copies of the Software remains with Gammatronics or its suppliers. The Software is copyrighted and protected by the laws of the European Union and other countries, and international treaty provisions. You may not remove any copyright notices from the Software. Gammatronics may make changes to the Software, or to items referenced therein, at any time without notice, but is not obligated to support or update the Software. Except as otherwise expressly provided, Gammatronics grants no express or implied right under Gammatronics patents, copyrights, trademarks, or other intellectual property rights. You may transfer the Software only if the recipient agrees to be fully bound by these terms and if you retain no copies of the Software.

DISCLAIMERS. YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE PRODUCT IS AT YOUR SOLE RISK AND THAT THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF NON INFRINGEMENT, TITLE, FUNCTIONALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
YOU MAY HAVE OTHER STATUTORY RIGHTS, BUT THE DURATION OF STATUTORILY REQUIRED WARRANTIES, IF ANY, SHALL BE LIMITED TO THE SHORTEST PERIOD PERMITTED BY LAW. GAMMATRONICS DOES NOT WARRANT THAT THE PRODUCT WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE SECURE, ERROR FREE, VIRUS FREE OR UNINTERRUPTED OR THAT ANY STORED DATA WILL BE ACCURATE OR RELIABLE OR THAT ANY STORED DATA WILL NOT BE LOST OR CORRUPTED OR THAT IT WILL BE ABLE TO RECTIFY/REMEDY ANY ERROR OR DEFECT.
YOU HAVE CHOSEN TO USE THE PRODUCT ON YOUR OWN VOLITION AND GAMMATRONICS BEARS NO RESPONSIBILITY AS TO THE QUALITY AND PERFORMANCE OF THE PRODUCT. GAMMATRONICS WILL NOT UNDER ANY CIRCUMSTANCE BE RESPONSIBLE FOR LOSS OF ANY DATA WHETHER FROM YOUR COMPUTER OR THE SERVER, DUE TO USE OF THE PRODUCT.
Gammatronics does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the Software.

LIMITATION OF LIABILITY. YOU EXPRESSLY UNDERSTAND AND AGREE THAT GAMMATRONICS, ITS REPRESENTATIVES, AND LICENSORS SHALL NOT BE LIABLE TO YOU UNDER ANY THEORY OF LIABILITY FOR ANY LOSS OF DATA, LOSS OF USE, FAILURE OF SECURITY MECHANISMS, BUSINESS INTERRUPTION, LOSS OF INCOME OR PROFIT OR ANY INDIRECT, INCIDENTAL, SPECIAL CONSEQUENTIAL OR EXEMPLARY LOSS OR DAMAGES THAT MAY BE INCURRED BY YOU BY USE OF THE PRODUCT, WHETHER OR NOT GAMMATRONICS OR ITS REPRESENTATIVES HAVE BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES ARISING. NEITHER PARTY’S LIABILITY TO THE OTHER SHALL EXCEED THE FEES PAID BY YOU TO GAMMATRONICS IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS AGREEMENT, GAMMATRONICS’ LIABILITY TO YOU FOR PRODUCTS THAT ARE FREE OF CHARGE SHALL NOT EXCEED EUR €5.

TERMINATION OF THIS AGREEMENT. Gammatronics may terminate this Agreement at any time if you violate its terms. Upon termination, you will immediately destroy the Software or return all copies of the Software to Gammatronics.

SUPPORT SERVICES. Because this software is “as is”, we may not provide support services for it.

APPLICABLE LAWS. This EULA shall be governed by the laws of the European Union and Hungary, without regard to any conflict of law provisions. You and Gammatronics agree to submit to the exclusive jurisdiction of the courts in Hungary to resolve any dispute arising out of this EULA. You may not export the Software in violation of applicable export laws and regulations. Gammatronics is not obligated under any other agreements unless they are in writing and signed by an authorized representative of Gammatronics.
